1. Agreement

These Terms of Service ("Terms") govern your access to and use of https://www.usafreetools.online/ and all calculators, tools, templates, checklists, and content available on it (collectively, the "Site"), operated by USAFreeTools ("we", "us", "our").

By accessing or using the Site, you agree to be bound by these Terms. If you do not agree, do not use the Site. These Terms incorporate our Privacy Policy and Disclaimer by reference.

2. Eligibility

You must be at least 18 years old, or the age of legal majority in your jurisdiction, to use the Site. The Site is not directed to children under 13, and we do not knowingly permit their use of it. By using the Site you represent that you meet this requirement and that your use complies with all laws applicable to you.

3. No Account Required

The Site does not offer or require user accounts. There is nothing to register, no password to manage, and no subscription to cancel. Nothing in these Terms obliges us to provide, maintain, or restore access to any stored data.

4. License To Use The Site

We grant you a limited, personal, non-exclusive, non-transferable, revocable license to access and use the Site and its tools for your own personal or internal business purposes, including using our calculators, saving your own entries in your browser, and exporting your own results as PDF or CSV files for your own records.

5. Acceptable Use

You agree not to:

• Copy, reproduce, republish, mirror, frame, or redistribute the Site or substantial portions of its content, tools, or code without our prior written permission
• Sell, license, sublicense, rent, or otherwise commercialize access to our tools or content
• Scrape, crawl, harvest, or use automated means to extract content or data at scale, except by well-behaved search engine or AI crawlers acting in accordance with our robots.txt
• Reverse engineer, decompile, or attempt to derive our calculation logic or data files for the purpose of building a competing product
• Remove, obscure, or alter any copyright notice, attribution, source citation, or disclaimer
• Interfere with or disrupt the Site, its servers, or its networks, including by denial-of-service attacks, excessive automated requests, or injection of malicious code
• Attempt to gain unauthorized access to any part of the Site or any related system
• Use the Site to violate any law or regulation, or to infringe the rights of others
• Present output from our tools to any third party as a professional opinion, certified calculation, official filing, or licensed advice
• Use the Site in any way that could damage, disable, overburden, or impair it, or interfere with another user's use of it
• Click, generate impressions on, or otherwise interact with advertisements in a fraudulent, automated, or artificially inflated manner, or encourage others to do so

We may investigate suspected violations and take any action we consider appropriate, including blocking access and reporting conduct to the relevant authorities.

6. No Professional Advice

All content on the Site is general information only. It is not tax, financial, investment, insurance, legal, medical, real estate, engineering, or construction advice, and using the Site creates no professional or fiduciary relationship. Tool outputs are estimates, not determinations, quotes, filings, or diagnoses.

You are solely responsible for verifying any figure, deadline, or rule before acting on it, and for consulting an appropriately licensed professional. Our full Disclaimer forms part of these Terms and you should read it in full.

7. Your Data and Content

7.1 It Stays With You

Our tools run in your browser. The values, notes, photographs, and files you enter are processed on your device and, where a tool offers persistence, saved in your browser's local storage. We do not receive, store, or have access to them, and we claim no ownership or license over them.

7.2 You Are Responsible For Backups

Because we hold no copy, we cannot recover your data. Clearing browser data, resetting or uninstalling your browser, private browsing sessions, device loss or failure, or a change of device can permanently delete it. Export and independently store anything you need to keep. We are not liable for any loss of locally stored data.

7.3 Communications To Us

If you send us feedback, suggestions, bug reports, or ideas, you grant us a non-exclusive, worldwide, royalty-free, perpetual, irrevocable license to use them for any purpose, including improving or building tools, without obligation, compensation, or attribution. Do not send us confidential information or anything you are not free to share.

8. Intellectual Property

The Site and its contents, including text, explanations, tool interfaces, layouts, code, compilations, templates, checklists, graphics, and the USAFreeTools name, are owned by us or our licensors and are protected by copyright, trademark, and other applicable laws. All rights not expressly granted are reserved.

Underlying facts, tax rates, statutory figures, and government forms are not claimed as our property. Our original expression, organization, presentation, explanatory content, and implementations are.

9. Templates and Generated Documents

Documents produced by our template generators, including demand letters, appeal letters, invoices, estimates, inventories, and compliance reports, are generic drafts.

• You may use, edit, and submit them for your own purposes, including business use
• You are solely responsible for their accuracy, adequacy, legality, and suitability, and for reviewing and adapting them before use
• They may not comply with the requirements of your jurisdiction, court, insurer, agency, or counterparty
• We make no representation that any generated document will be accepted, enforceable, or effective
• You may not republish or redistribute our templates as your own template product or service

10. Advertising

The Site is free and funded by third-party advertising. Advertisements are served by advertising networks and are not curated or endorsed by us. We are not responsible for advertiser content, products, services, claims, or conduct, and we are not a party to any transaction between you and an advertiser. 11. Third-Party Links and Services

The Site links to third-party websites and relies on third-party services, including our hosting platform, advertising networks, and analytics providers. We do not guarantee uninterrupted availability, and downtime may occur for maintenance, platform issues, or reasons beyond our control.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, COMPLETENESS, CURRENCY, TITLE, AND UNINTERRUPTED OR ERROR-FREE OPERATION.

We do not warrant that calculation results are accurate or applicable to your circumstances, that the Site reflects the current state of any law, rate, limit, or deadline, that data saved in your browser will persist or be recoverable, or that the Site or its exports are free of defects or harmful components.

14. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, USAFREETOOLS AND ITS OPERATORS, OWNERS, AND CONTRIBUTORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING FROM OR RELATING TO YOUR USE OF OR INABILITY TO USE THE SITE, WHETHER BASED IN CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR ANY OTHER THEORY, AND WHETHER OR NOT WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

This includes, without limitation, tax penalties, interest, or reassessment; denied, reduced, or delayed insurance claims; missed legal, court, or administrative deadlines; adverse legal outcomes; loan, lease, refinancing, or transaction costs; property damage or equipment failure following use of a sizing tool; loss of locally stored data; and any health-related consequence.

TO THE EXTENT LIABILITY CANNOT BE FULLY EXCLUDED, OUR TOTAL AGGREGATE LIABILITY ARISING FROM OR RELATING TO THE SITE SHALL NOT EXCEED ONE HUNDRED US DOLLARS (USD 100.00).

Some jurisdictions do not allow certain exclusions or limitations, so parts of this section may not apply to you. Nothing here excludes liability that cannot lawfully be excluded.

15. Indemnification

You agree to indemnify, defend, and hold harmless USAFreeTools and its operators, owners, and contributors from and against any claims, liabilities, damages, losses, costs, and expenses, including reasonable legal fees, arising out of or relating to your use of the Site, your breach of these Terms, your reliance on any tool output or template, your use or submission of a generated document, or your violation of any law or third-party right.

16. DMCA and Copyright Complaints

We respect intellectual property rights. If you believe content on the Site infringes your copyright, send a written notice to Kushalhranpura@gmail.com with "DMCA Notice" in the subject line, including all elements listed on our Contact page.

We will review valid notices and may remove or disable access to the material. If you believe material was removed in error, you may submit a counter-notice containing identification of the removed material and its former location, a statement under penalty of perjury that you have a good faith belief the removal resulted from mistake or misidentification, your contact details, your consent to the jurisdiction of an appropriate court, and your signature. Knowingly submitting a false notice or counter-notice may expose you to liability.

17. Termination

We may block or restrict your access to the Site at any time, with or without notice, if we reasonably believe you have violated these Terms or that your access poses a risk to the Site, its users, or third parties. Sections concerning intellectual property, disclaimers, limitation of liability, indemnification, and governing law survive termination.

18. Governing Law and Disputes

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles. You agree that any dispute arising out of or relating to these Terms or the Site shall be subject to the exclusive jurisdiction of the state and federal courts located in Wilmington, Delaware, and you consent to personal jurisdiction and venue there.

Before initiating any formal proceeding, you agree to contact us at Kushalhranpura@gmail.com and attempt in good faith to resolve the matter informally for a period of at least thirty (30) days.

Nothing in this section deprives a consumer of any mandatory protection or forum available under the law of their country of residence, where such protection cannot lawfully be waived.

We may revise these Terms at any time. The "last updated" date above indicates the current version. Material changes will be signposted on the Site. Your continued use after a change constitutes acceptance of the revised Terms. Review this page periodically.

20. General Provisions

• Entire agreement. These Terms, together with the Privacy Policy and Disclaimer, constitute the entire agreement between you and us regarding the Site.
• Severability. If any provision is held unenforceable, it shall be modified to the minimum extent necessary or severed, and the remaining provisions remain in full force.
• No waiver. Our failure to enforce any provision is not a waiver of our right to do so later.
